The business was founded by a Ukrainian citizen and operated as an AI-powered digital product in the marketing automation space.

The platform analysed advertising traffic in real time and generated optimisation recommendations for international clients.

At launch, revenue came primarily from non-EU markets. The business was already active and profitable when it began attracting its first customers from the European Union.

As EU demand emerged, the founder made a strategic decision:

to create a separate European operating structure rather than sell into the EU through the existing non-EU setup.

Client's Objective

The founder needed a setup that would:

• allow product income to be reinvested without immediate tax leakage

• avoid forced year-end profit decisions

• remain compliant within the EU

• stay simple, defensible, and easy to manage

Capital efficiency and flexibility were the priority.

The structure had to support the business — not dictate decisions to it.

Structural Solution Using Estonia

An Estonian OÜ was established as an EU operating company with a clear profit accumulation function.

Under the Estonian corporate tax system: profits are not subject to corporate income tax as long as they remain undistributed.

Taxation arises only when dividends are paid.

This allowed the company to:

• generate revenue from EU customers,

• cover operating costs,

• and reinvest remaining profits into product development without recurring corporate tax pressure.

The Estonian entity also enabled:

• VAT reporting for digital services under the OSS scheme,

• digital corporate management without physical presence,

• and a clear separation between company-level income and the founder’s personal taxation.

The structure did not eliminate taxes.

It aligned taxation with actual business decisions, not accounting cycles.

Outcome

The result was a structure where:

• profits could accumulate without forced year-end decisions,

• capital could be used efficiently for product development,

• EU operations were compliant and centralised,

• and taxation followed real economic events, not formal timing.

The business continued to grow.

This time, with the freedom to decide when profit needed attention, and when it could simply stay in the company and work.
